Arunas A. Chesonis, Chairman of the Board Arunas A. Chesonis, Chairman of the Board
Arunas A. Chesonis serves as Chairman of the Board and Chief Executive Officer of PAETEC Holding Corp., and is responsible for the vision, leadership, and direction of the company. Under the watch of Mr. Chesonis, PAETEC has achieved remarkable growth. Within five years of founding PAETEC in May 1998, Mr. Chesonis led the company to achieve the number two ranking in the 2003 Deloitte Fast 500 list of the fastest-growing public and private technology companies in North America. In 2001, he was awarded the Ernst & Young Entrepreneur of the Year Award. In 2006, Mr. Chesonis received the Herbert W. Vanden Brul Entrepreneurial Award by the College of Business at Rochester Institute of Technology. This growth has not come at the expense of doing business the right way, as shown by PAETEC receiving the national 2005 American Business Ethics Award sponsored by the Society for Financial Service Professionals. Mr. Chesonis began his career at Rochester Telephone Corporation, now part of Citizens Communications Company. He went on to serve as President of ACC Corp., until it was purchased by TCG/ATT in 1998. Mr. Chesonis holds a B.S. in Civil Engineering from Massachusetts Institute of Technology, an MBA from the William E. Simon Graduate School of Business at the University of Rochester, and an Honorary Doctorate of Laws from the University of Rochester. He is Chairman of the Director's Council for the Earth System Initiative at the Massachusetts Institute of Technology, and serves as trustee at the Harley School, Rochester Institute of Technology and the University of Rochester.

Richard T. Aab, Vice Chairman and Director Richard T. Aab, Vice Chairman and Director
Mr. Aab has served as Vice Chairman of the Board of Directors of PAETEC Holding since February 2007. Mr. Aab co-founded US LEC in June 1996 and served as its Chairman of the Board of Directors from June 1996 until February 2007. In 1982, Mr. Aab co-founded ACC Corp. Between 1982 and 1997 he held various positions with ACC, including Chairman of the Board, Chief Executive Officer, President and Director. Also, during that period he served as Chairman and Director of ACC's international subsidiaries in Canada, ACC TelEnterprises, Ltd., and the United Kingdom, ACC Long Distance UK Ltd. Mr. Aab is a member of the Board of Trustees of the University of Rochester, the University of Rochester Medical Center, Rochester Institute of Technology and a member of the board of directors of serveral private corporate entities, including E-chx, Inc. a nationwide payroll processing company, of which he is also Chairman.

Shelley Diamond, Director Shelley Diamond, Director
Ms. Diamond joined PAETEC's Board in March, 2009, and is the Managing Director of the iconic New York office of Young and Rubicam. In this role, Ms. Diamond leads the day-to-day operations of the flagship New York agency, formulating and implementing strategic direction, attracting talent, expanding the office's new media and digital capabilities, and cultivating new business-from both existing and new clients.
She is a Y&R veteran, most recently Director of Client Services. As such, she
was key in steering and championing the growth, development and structure of the
New York Account Management department that serves over 30 client partners and
pro bono accounts.
Ms. Diamond has served as the Global Managing Partner for Xerox since 1991, and was instrumental in leading Xerox's repositioning from "The Copier Company" to "The Document Company". Her responsibilities included strategic Brand leadership, spanning 57 countries and the integration of marketing activities to help drive profitable growth. She has also led the Campbell Soup team since 1999. Under her leadership the agency has expanded the relationship from one brand to more than twenty and created marketing programs that have effectively driven sales and profits for some of the company's most celebrated brands.

H. Russell Frisby, Jr., Director H. Russell Frisby, Jr., Director
Mr. Frisby is the partner-in-charge of Fleischman and Harding's Telecom Group. He focuses his practice on regulatory and corporate matters affecting entities in the communications energy and technology areas. For over 20 years he has represented clients in a wide variety of proceedings, including litigation matters, before the Federal Communications Commission (FCC), state utility commissions and federal courts.

Tansukh V. Ganatra, Director Tansukh V. Ganatra, Director
Mr. Ganatra co-founded US LEC in June 1996 and has served as a director until joining PAETEC's Board in February, 2007. He served as Chief Executive Officer and Vice Chairman of the Board of Directors from July 1999 until his retirement in December 2001. He also served as President and Chief Operating Officer from June 1996 until July 1999. From 1987 to 1997, Mr. Ganatra held various positions with ACC Corp., including serving as its President and Chief Operating Officer. Prior to joining ACC Corp., Mr. Ganatra held various positions during a 19-year career with Rochester Telephone Corp., culminating with the position of Director of Network Engineering.

Michael C. Mac Donald, Director Michael C. Mac Donald, Director
Mr. Mac Donald is senior vice president, operational effectiveness for Xerox Corporation. He was named to this position in September 2008 and leads a corporate initiative to review the company's core functions including marketing, learning, human resources and other key areas to ensure we're maximizing the effectiveness of these resources and delivering a solid return on our investment. Mac Donald is a senior vice president of the corporation, appointed in July 2000.
He was previously, president, Xerox Marketing Operations, responsible for corporate marketing, xerox.com, advertising, brand, public relations, and corporate communications. Prior to this he was president, Marketing & Global Accounts from 2004 - 2007. Prior to that, he was president, North American Solutions Group, responsible for all products, services and solutions sold by the Xerox direct sales force in the United States and Canada. He has also served as that group's senior vice president of marketing and chief of staff.
Mr. Mac Donald is a director of Medifast, Inc. which is engaged in the production, distribution, and sale of weight products. He is also on the Board of Directors of the Rochester Institute of Technology, the U.S. Chamber of Commerce, the Jimmy V Foundation, and the board of overseers of Rutgers University. In addition, he is also a board member of the CMO Council North American Advisory Board.

William R. McDermott, Director William R. McDermott, Director
Mr. McDermott is president and CEO of SAP America, Inc. He is responsible for SAP's strategic business operations in the United States and Canada with more than 4,500 employees. Before joining SAP, Mr. McDermott was executive vice president for worldwide sales at Siebel Systems where he led global sales and field operations for 37 countries. He also served as president of Gartner Inc., overseeing its research, consulting, measurement, software, interactive business operations, as well as its global sales and service operations. Mr. McDermott started his career at Xerox Corporation where he became the firm's youngest corporate officer and division president. In 1997, Mr. McDermott's team received the Malcolm Baldrige Award, the nation's highest honor for business performance. Mr. McDermott is an active civic leader and advocate for social responsibility in business.
He is a board director for the Washington-based Welfare-to-Work Partnership, which promotes career opportunities for former welfare recipients, as well as Under Armour, Inc. and Ansys, Inc. He is also a member of the Business Roundtable, the Enterprise Software Roundtable, the Advisory Board for Villanova University in Villanova, Pennsylvania, Dowling College Board of Trustees, and the KIPP School National Advisory Board. Mr. McDermott received a BS from Dowling College and an MBA from the Kellogg School of Management at Northwestern University. He has also completed the Executive Development Program at the University of Pennsylvania's Wharton School.

Alex Stadler, Director Alex Stadler, Director
Mr. Stadler previously served on the Board of Directors of McLeodUSA from January 2006 until its acquisition by PAETEC Holding Corp on February 8, 2008. From 1999 until 2002, he served as Chief Executive Officer of Riodata NV, a data services carrier specializing in private network and Internet access and connectivity for medium-sized companies. Before his service in that position, Mr. Stadler served as Chief Operating Officer of Otelo Communications, a competitive local exchange carrier, and as Chief Executive Officer of RWE Telliance AG, a German telecommunications company. Mr. Stadler joined GTE Corporation in 1977, and from 1985 to 1996, he served in a variety of senior management positions at GTE's cellular and telephone subsidiaries and as GTE's head of mergers and acquisitions. Since 2002, Mr. Stadler has pursued private interests. Mr. Stadler started his career as an Economist at the Reserve Bank of Rhodesia. He holds a B.Sc. in Economics and Finance from the University of Rhodesia, and a MA in Political Science from the New School University, New York.

Keith M. Wilson, Director Keith M. Wilson, Director
Keith M. Wilson serves PAETEC as Chief Financial Officer and Treasurer, and is responsible for maintaining and reporting the financial health of the company and overseeing corporate assets. In this role, Mr. Wilson is responsible for such finance-related departments as Treasury, Accounting, Corporate Finance, Mergers & Acquisitions, and Investor Relations and also serves as Executive Vice President in charge of PAETEC's Network Operations Centers, Service Delivery and Engineering functions. Additionally, Mr. Wilson serves as a Director for PAETEC's Board. Prior to joining PAETEC in January 2001, Mr. Wilson most recently served as Vice President and head of the Telecommunications Finance Group at Union Bank of California, where he focused on sourcing and providing capital for telecommunications services companies in the wireline, wireless, and data-services markets. Mr. Wilson also has held positions with First Dominion Capital, NationsBank, Bank of Boston, and Fleet Bank. Mr. Wilson received a Bachelor of Arts degree from Dickinson College in Carlisle, PA, where he was a Nisbet Scholar, and a master's degree from The University of Michigan. Mr. Wilson serves on the Board of Directors, Executive Committee, and as Vice Chairman for the Rochester Philharmonic Orchestra. He is also former Chairman of the Dickinson Fund Advisory Committee, and former Board Member of the McAndrews Fund for Athletics, both of Dickinson College.

Mark Zupan, Director Mark Zupan, Director
Mark Zupan has served as dean of the William E. Simon Graduate School of Business Administration at the University of Rochester on a full-time basis since January 1, 2004. He is responsible for the administrative and academic functions of the Simon School, and serves as the leading advocate of the School's faculty, programs, and students to the business community and other external constituencies. Mr. Zupan previously served as dean and professor of economics at the University of Arizona's Eller College of Management from 1997 to 2003. Before his appointment at Arizona, Mr. Zupan taught at the University of Southern California's Marshall School of Business, where he also served as associate dean of master's programs. He was a teaching fellow in Harvard's Department of Economics while pursuing his doctoral studies at M.I.T., and has been a visiting faculty member at the Amos Tuck School of Business Administration at Dartmouth College. Mr. Zupan is the co-author of two books and has authored numerous scholarly articles appearing in leading business publications, as well as opinion articles featured in national newspapers. Mr. Zupan holds a B.A. degree in economics from Harvard University and a Ph.D. in economics from the Massachusetts Institute of Technology.
